These Terms and Conditions apply to all quotations, sales orders, invoices, deliveries, purchase-related
documents, and related transactions issued by BioExcel Pharma, unless otherwise agreed in writing by an
authorized representative of BioExcel Pharma. By approving a quotation, issuing a purchase order, making
payment, accepting delivery, or using the products, the customer agrees to these Terms and Conditions.
- All quotations are valid for 30 days from the quotation date unless a different validity period is
stated in writing.
- After the expiration date, BioExcel Pharma may revise pricing, availability, lead time, freight
charges, taxes, payment terms, or other commercial terms.
- All prices are listed in U.S. Dollars (USD) unless otherwise stated.
- Prices apply only to the products, quantities, catalog numbers, pack sizes, and specifications
listed in the quotation.
- Prices do not include freight, shipping, handling, taxes, duties, customs fees, bank charges,
insurance, special documentation, validation support, or other additional charges unless
specifically listed on the quotation.
- The customer is responsible for all applicable sales tax, use tax, duties, customs fees, import
charges, bank fees, and other government-imposed charges unless otherwise stated in writing.
- Tax-exempt customers must provide a valid exemption certificate before invoicing.
- A quotation does not create a confirmed order until BioExcel Pharma receives and accepts a valid
purchase order, written approval, or required payment.
- BioExcel Pharma may reject, hold, or cancel any order due to product unavailability, supplier
limitations, credit issues, payment issues, regulatory concerns, import/export restrictions, or
other business conditions.
- Payment terms will be stated on the quotation, sales order, or invoice.
- BioExcel Pharma may require advance payment, partial payment, or credit approval before processing
an order.
- Late payments may result in shipment delays, credit hold, suspension of future orders, and
collection action. The customer is responsible for reasonable collection costs where applicable.
- Lead times are estimates only and are not guaranteed unless expressly confirmed in writing.
- Lead times may change due to supplier availability, manufacturing schedule, quality release, customs
clearance, carrier delays, weather, labor issues, government action, shortages, or other
circumstances outside BioExcel Pharma's reasonable control.
- Shipping terms will be stated on the quotation, sales order, invoice, or shipping document.
- Unless otherwise agreed in writing, freight, shipping, handling, insurance, duties, and
customs-related charges are the responsibility of the customer.
- Risk of loss transfers according to the applicable shipping terms listed on the quotation, invoice,
or shipping document.
- Products will be supplied according to the product descriptions, catalog numbers, specifications,
quantities, and pack sizes listed in the quotation.
- The customer is responsible for reviewing and confirming all product specifications before placing
an order, including catalog number, size, volume, dimension, material, grade, sterile or non-sterile
status, pack size, storage condition, shelf-life requirement, intended application, and
documentation requirement.
- The customer is responsible for determining whether the product is suitable for its intended use,
process, validation requirements, regulatory obligations, storage conditions, handling requirements,
and final application.
- BioExcel Pharma does not guarantee that a product is suitable for a customer-specific use unless
that suitability is expressly confirmed in writing by BioExcel Pharma.
- Where applicable and available, BioExcel Pharma may provide quality or regulatory documentation,
including Certificate of Analysis, Certificate of Conformance, sterility certificate, irradiation
certificate, endotoxin information, shelf-life information, storage condition information, country
of origin, lot or batch traceability documentation, SDS/MSDS, and product data sheets.
- Any special documentation request must be confirmed before order placement. Additional
documentation, testing, validation support, or special compliance requests may require additional
cost and lead time.
- The customer must inspect all products promptly upon delivery.
- Any shortage, visible damage, incorrect item, or visible defect must be reported in writing within 5
business days of delivery.
- Claims should include the purchase order number, invoice or quotation number, product name and
catalog number, lot or batch number if applicable, photos of the issue, packing slip or delivery
documentation, and a clear description of the issue.
- BioExcel Pharma may request product return, inspection, or additional documentation before issuing
any replacement, credit, or refund.
- Products may not be returned without prior written authorization from BioExcel Pharma.
- Approved returns must be unused, unopened, properly stored, and in original packaging unless
BioExcel Pharma agrees otherwise.
- Return approval does not guarantee credit. Products may be inspected before credit, replacement, or
refund is issued. Return shipping costs and restocking fees may apply.
- The following products are generally non-returnable: custom products, special-order products,
sterile products, temperature-sensitive products, opened products, expired products, used or
partially used products, products damaged due to customer handling, products stored outside
recommended conditions, products ordered incorrectly by the customer, and products requiring special
regulatory or quality release.
- Order changes or cancellations must be requested in writing and are subject to BioExcel Pharma
approval.
- Custom products, imported products, special-order products, sterile products, temperature-sensitive
products, products already in production, and products already shipped may not be cancellable.
- Any approved change may affect price, lead time, shipping cost, and availability.
- BioExcel Pharma warrants that products will conform to the listed specifications at the time of
shipment.
- This warranty does not apply to products that are misused, mishandled, improperly stored, altered,
contaminated, used after expiration, used outside product specifications, damaged after delivery, or
used for an application not approved or recommended for the product.
- BioExcel Pharma's sole obligation under this warranty is limited to replacement, credit, or refund
of the affected product, at BioExcel Pharma's discretion.
- BioExcel Pharma's liability is limited to replacement, credit, or refund of the affected product.
- BioExcel Pharma will not be liable for indirect, incidental, special, consequential, or punitive
damages, including loss of profit, loss of revenue, business interruption, production delay, product
recall costs, downstream customer claims, testing costs, labor costs, validation costs, or
regulatory filing delays.
- BioExcel Pharma's total liability shall not exceed the amount paid by the customer for the specific
product giving rise to the claim.
- Products are supplied for laboratory, research, quality control, pharmaceutical, bioprocessing,
industrial, or related commercial use as applicable.
- The customer is responsible for complying with all applicable laws, regulations, validation
requirements, and internal quality procedures related to the use of the products.
- BioExcel Pharma does not guarantee regulatory approval of the customer's final product, process,
submission, or application unless expressly agreed in writing.
- The customer is responsible for storing and handling products according to the product label,
certificate, SDS/MSDS, product data sheet, storage instructions, or written guidance provided with
the product.
- BioExcel Pharma is not responsible for product issues caused by improper storage, temperature
exposure, contamination, misuse, mishandling, or failure to follow storage and handling instructions
after delivery.
- Pricing, technical information, product information, commercial terms, customer-specific quotations,
drawings, specifications, and business information shared by BioExcel Pharma are confidential.
- The customer may not disclose such information to third parties without prior written permission
from BioExcel Pharma, except as required by law or internal purchasing, quality, or regulatory
review.
- All trademarks, product names, technical documents, drawings, designs, labels, brochures, and
commercial materials provided by BioExcel Pharma remain the property of BioExcel Pharma or their
respective owners.
- The customer may not copy, reproduce, modify, reverse engineer, relabel, rebrand, or resell BioExcel
Pharma materials under another brand without prior written approval.
- BioExcel Pharma is not responsible for delays or failure to perform caused by events beyond its
reasonable control, including supplier delays, transportation delays, customs delays, natural
disasters, fire, flood, severe weather, labor shortages, labor disputes, material shortages,
government action, import/export restrictions, war, terrorism, civil unrest, pandemics, public
health emergencies, carrier disruptions, power outages, system failures, or infrastructure failures.
- If a force majeure event causes a significant delay, BioExcel Pharma may adjust delivery timelines
or cancel the affected order without liability.
- These Terms and Conditions are governed by the laws of the State of New Jersey, without regard to
conflict of law rules.
- Any dispute shall be handled in the state or federal courts located in New Jersey, unless otherwise
agreed in writing.
- The quotation, accepted purchase order, sales order, invoice, delivery documentation, and these
Terms and Conditions represent the complete agreement between BioExcel Pharma and the customer for
the applicable transaction.
- Any changes must be confirmed in writing by BioExcel Pharma.
- By approving a quotation, issuing a purchase order, making payment, accepting delivery, or using the
products, the customer agrees to these Terms and Conditions.
